Multilingual Learning Research Center School Network Terms of Membership

I am submitting this membership application to the Multilingual Learning Research Center (“MLRC”) School Network (“Membership”) on behalf of my school or organization. The Wisconsin Center for Education Research (“WCER”) is the administrative home of the MLRC and is a unit of the University of Wisconsin-Madison and the Board of Regents of the University of Wisconsin System (“University”).  

If my school or organization is accepted for Membership (“Member School”) and our Member dues are paid, myself and/or my school’s or organization’s employees will be given access to the MLRC School Network Hub (“Hub”) on behalf of the Member School (“Hub User”). Accordingly, I, Member School, and any of Member School’s Hub Users given access to the Hub or that are accessing materials provided to the Member School, agree to comply with these Terms of Membership, the University of Wisconsin-Madison Privacy Notice, and the MLRC Data Use Terms (“Terms”), which constitute the agreement between the Member School and WCER regarding my school’s or organization’s Membership (“Agreement”).   

Background

The MLRC School Network is a research–practice partnership that is a collaborative, long-term relationship between researchers and practitioners designed to improve problems of practice. MLRC School Network members have opportunities to engage in dialogue and collaborative research to explore common problems of practice in teaching multilingual learners. The MLRC School Network promotes inquiry both within schools and across schools. The Membership includes access to the MLRC School Network Hub, which houses resources such as, but not limited to opportunities to engage with other educators through online discussions focused around key MLRC topics and school improvement tools to enhance programs to serve multilingual learners. 

Term

This Agreement shall be in effect from the date the Membership is approved by MLRC until December 31, 2024. If the Membership is renewed by the parties, this Agreement shall remain in effect until the date the Membership ends. Terms which by their nature are intended to survive shall not be affected by expiration or termination of this Agreement. 

MLRC School Network Member Dues

Member School agrees to pay the following annual member dues for participation in the MLRC School Network according to the following table. 

The annual (January 1 – December 31) membership fee is based on total school enrollment.

500—999 students  $1000 
1000—1499 students  $1500 
Over 1500 students  $2000 

 

Exception: WIDA Consortium Memberships extending past June 30, 2023: 

WIDA International School Consortium members whose WIDA membership extends past June 30, 2023, will receive a discounted MLRC School Network membership price based on enrollment and the number of months remaining on their WIDA membership past June 30, 2023. 

The Member School is responsible for any and all sales, use, excise, and other taxes, import duties and charges levied as a result of its purchase. After a school’s or organization’s Membership application is approved, MLRC will notify Member School of approval via email, and WCER will invoice Member School. Access to the MLRC School Network Hub will commence upon invoicing, however, failure to pay the membership fees within 90 days will result in the MLRC School Network Membership and MLRC School Network Hub access being suspended until payment is completed. Payment options include Check, Credit Card and ACH/Wire Transfers.  

New members:

Applications submitted prior to July 1, 2023: Upon MLRC approval in June 2023, MLRC will notify Member School of approval via email. WCER will invoice Member School, and payment is due by October 1, 2023. The MLRC School Network Membership and access to the MLRC School Network Hub will commence on July 1, 2023.  

Applications submitted between July 1, 2023 and December 31, 2023: Upon MLRC approval, MLRC will notify Member School of approval via email. WCER will invoice Member School, and payment is due within 90 days of invoicing. The MLRC School Network Membership and access to the MLRC School Network Hub will commence upon application approval and will be valid through December 31, 2024.  

Applications submitted on or after January 1, 2024: Upon MLRC approval, MLRC will notify Member School of approval via email. WCER will invoice Member School, and payment is due within 90 days of invoicing. The MLRC School Network Membership and access to the MLRC School Network Hub will commence upon application approval and will be valid through the end of that calendar year. The first year membership fee will be pro-rated based on the number of days left in the year from the day the invoice is sent (e.g. July 1 = 183 days left in the year = 50% payment). 

Renewing members:

Member Schools will receive renewal invoices annually from WCER in October. MLRC School Network Membership and access to the MLRC School Network Hub will continue into the following calendar year, however, failure to pay the membership fees by December 31 of the current year will result in the MLRC School Network Membership and MLRC School Network Hub access being suspended until payment is completed. 

Member Schools that join between October 1 and December 31 will pay the pro-rated first year price on one invoice and will receive a second invoice for the next full year of Membership.   

Intellectual Property Ownership and License

The MLRC and WCER are permitted to share my name, email address, Member School information, and demographic data provided both on the Membership application form and via other mediums, for the purpose of making Membership decisions and providing access to MLRC School Network information, including but not limited to training materials, research resources and online self-access workshops (“MLRC Materials”) and services. School-based consultation and other specific research and/or service projects will be available for a separate fee and under a separate written agreement.  

The MLRC Materials are the property of the Board of Regents of the University of Wisconsin
System. The copyright to MLRC Materials provided to the Member School, or to which the Member School is given access, belongs to and shall remain the property of the Board Regents of the University of Wisconsin System.

The Member School will keep all materials associated with the MLRC Materials secure and confidential at all times. The Member School will ensure that all users given access on its behalf to MLRC Materials will also keep MLRC Materials confidential.

The Member School and any user accessing on behalf of the Member School shall not photocopy or otherwise reproduce any MLRC Materials.

MLRC Materials shall only be used for official Member School assessment purposes and may not be used by Member School staff or other individuals for non-Member School purposes. 

MLRC School Network Hub Users

The MLRC and WCER are permitted to share Member School Hub Users names, email addresses, Member School information, demographic data, discussion contributions, and any resources and artifacts shared by Hub Users in the Hub for purposes including but not limited to maintaining the Hub, program evaluations and analyses, and providing research and service opportunities to Member Schools.  

The MLRC School Network Hub and MLRC Materials and information shared by MLRC with Hub Users are the property of the Board of Regents of the University of Wisconsin System. The copyright to MLRC Materials and information provided to the Hub Users, or to which the Hub Users are given access, belong to and shall remain the property of the Board Regents of the University of Wisconsin System. 

The Hub Users will keep all materials associated with MLRC and the Hub secure and confidential at all times. The Hub Users shall not photocopy or otherwise reproduce any MLRC Materials or information from the Hub. The Hub and MLRC Materials and information shall only be used for official Member School purposes. 

Hub Users acknowledge that the unauthorized access to or dissemination of school student records, including student and parent(s) information, is prohibited under state and federal law.  

In the event of any failure of a Hub User to comply with any of the terms and conditions of this Agreement, WCER may terminate this Agreement for cause immediately, and revoke the Hub User’s credentials without refund, and may result in further legal action. 

Student Data

WCER and Member School acknowledge that the unauthorized access to or dissemination of school student records, including student and parent(s) information, is prohibited under US state and federal law. 

Publicity

WCER and Member School will mutually agree on any press releases or other publicity relating to the Member School’s Membership and any Member School related projects. Notwithstanding the foregoing, MLRC may post Member Schools and Hub Users’ names on the MLRC website and/or the Hub without prior approval.  

WARRANTY DISCLAIMER

ANY WORKS, MATERIALS, INFORMATION, AND RELATED SERVICES OFFERED UNDER THIS AGREEMENT WERE DEVELOPED AS PART OF THE NON-PROFIT RESEARCH AND EDUCATIONAL ACTIVITIES OF THE UNIVERSITY, AND ARE PROVIDED TO MEMBER SCHOOL AS PART OF THE UNIVERSITY’S MISSION OF OUTREACH AND SERVICE TO THE EDUCATIONAL COMMUNITY.  THE UNIVERSITY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO ANY MATTER WHATSOEVER, INCLUDING, WITHOUT LIMITATION, THE CONDITION OF THE WORKS, INFORMATION, OR MATERIALS, WHETHER TANGIBLE OR INTANGIBLE, OR DEVELOPED UNDER THIS AGREEMENT; OR THE MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THE WORKS, INFORMATION, OR MATERIALS. THE UNIVERSITY SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, OR OTHER DAMAGES SUFFERED BY ANY PERSON RESULTING FROM THIS AGREEMENT OR THEIR USE OF THE WORKS, INFORMATION, OR MATERIALS. 

Liability Protection and Hold Harmless

The State of Wisconsin, including the University, is self-funded for liability under Wisconsin law. This coverage includes losses, claims, damages, or liability of any kind, arising out of or in connection with this Agreement, to the extent that the losses, claims, damages, or liability is founded upon or grows out of the acts or omissions of any of the officers, employees or agents of the University while acting within the scope of their employment where protection is afforded by secs. 893.82 and 895.46(1), Wis. Stats. 

Member School agrees to hold the University of Wisconsin-Madison, its officers, employees, or agents, harmless from any loss, claim, damage, or liability of any kind involving an officer, employee, or agent of Member School arising out of or in connection with this Agreement, except to the extent that such loss, claim, damage, or liability is founded upon or grows out of the acts or omissions of any of the officers, employees, or agents of WCER while acting within the scope of their employment where protection is afforded by ss. 893.82 and 895.46(1), Wis. Stats. 

Termination

In the event of any failure to keep in force any of the terms and conditions of this Agreement, the non-breaching party shall provide notice to the breaching party in writing. If the breach is not remedied within thirty (30) days of the date of notice, the non-breaching party may terminate the Agreement without further notice. The parties shall have the right to terminate the Agreement without cause at any time during the Agreement term by giving thirty (30) days’ notice in writing. 

Force Majeure

Neither party shall be responsible for any inability or failure to comply with the terms of this Agreement due to causes beyond its control and without the negligence or malfeasance of such party. These causes shall include, but not be restricted to: fire, storm, flood, earthquake, explosion, acts of the public enemy, war, rebellion, insurrection, mutiny, sabotage, epidemic, pandemic, quarantine restrictions, labor disputes, embargoes, acts of God, acts of the United States or any other government, including the failure of any government to grant export or import licenses or permits. 

Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of Wisconsin and the federal laws of the United States, excluding conflicts of laws principles. The Membership and access to the MLRC Materials and Hub will be deemed to have been performed and occurred in the State of Wisconsin and the courts of that State will have exclusive jurisdiction to entertain any action arising out of the Membership or Agreement. Member School hereby irrevocably submits to the exclusive jurisdiction and venue of the courts of the State of Wisconsin, the County of Dane and the Western District of Wisconsin, as applicable, and waives any objections as to personal jurisdiction, venue and forum nonconveniens. 

Miscellaneous 

The Member School has read and agrees to the MLRC Data Use Terms and Data Processing Addendum. If I am a resident of the European Union or the European Economic Area, or the Member School is in the European Union or the European Economic Area, I, Member School, and Hub Users agree to the Data Processing Addendum, and permit our data to be transferred to the United States.

The Member School has also read and agrees to the University of Wisconsin-Madison Privacy Notice. 

Any violation of this Agreement or the copyrights of the Board of Regents of the University of Wisconsin System will result in revocation of my school’s or organization’s Membership and access to the Hub without refund and may result in further legal action. 

The terms of this Agreement may be updated occasionally during the Agreement term.
